§ 1. Scope of the Agreement
1.1. These terms apply to all subscriptions and services provided by TradePlus ApS (“TradePlus”).
1.2. By accepting the terms – e.g., via online registration or signature – a binding agreement is entered into between TradePlus and the customer (“Customer”).
§ 2. Services and Delivery
2.1. TradePlus delivers the services specified in the selected subscription plan or separate agreement.
2.2. Delivery takes place digitally via the contact details or platforms provided by the Customer, unless it is the Partner package or otherwise agreed.
2.3. All prices are invoiced excl. VAT. Transport, lodging, and other direct expenses related to on-site activities are invoiced separately.
§ 3. Subscription Periods, Payment, and Cancellation
3.1. Subscription periods and payment
Our subscription plans are offered with monthly or annual billing cycles. When choosing an annual cycle, the subscription fee is paid for a full year upon agreement and at each renewal.
All subscriptions renew automatically at the end of the period – either monthly or annually – unless the Customer actively requests cancellation before the renewal date.
3.2. Annual subscription – discount and commitment
An annual subscription is offered at a reduced price compared to monthly billing. This discount is granted in exchange for the Customer’s commitment to a 12-month subscription period.
3.3. Cancellation and refunds
The subscription fee for a subscription period is unconditional and non-refundable. The Customer may cancel the subscription at any time but is not entitled to a refund for the remaining part of the already paid period.
Upon cancellation we will:
- Stop your subscription renewal (no automatic renewal).
- Maintain your access to the service until the already paid subscription period expires.
- Delete your data at the end of the period in accordance with our Privacy Policy.
Example: If you purchase an annual subscription on January 1 and cancel on June 1, your access will continue without renewal until December 31, without refund for June–December.
§ 4. Payment Methods
4.1. Payment is normally made by invoice and bank transfer to the account provided by TradePlus.
4.2. By further agreement, other payment methods may be used, including card payment.
4.3. Payment must be made on time and according to the invoice due date. In case of late payment, TradePlus may charge reminder fees and default interest under the Danish Interest Act.
§ 5. Changes in Prices and Terms
5.1. Price adjustments
TradePlus reserves the right to periodically review and adjust prices for our subscription services. Adjustments may be necessary due to rising operating costs, product development, new features, improved customer service, or market conditions.
5.2. Notice of changes
The Customer will be informed of any price increase with written notice (e.g., via e-mail) at least 30 days before taking effect. The notice will include information about the new price, effective date, and justification.
5.3. Customer rights in case of price increase
If the Customer does not accept the price increase, the subscription may be terminated without cost before the effective date. Continued use after the effective date is considered acceptance.
5.4. Changes in terms
TradePlus also reserves the right to adapt and update these terms. Amended terms take effect following the same notice procedure as in section 5.2.
§ 6. Intellectual Property
6.1. All material, content, lectures, workshops, videos, analyses, presentations, and other deliverables prepared by TradePlus are and remain the intellectual property of TradePlus.
6.2. The Customer is granted a limited, non-exclusive, non-transferable right to use the material during the term of the agreement.
6.3. The material may not be copied, distributed, or used for purposes other than agreed without written permission from TradePlus.
§ 7. Personal Data and Confidentiality
7.1. TradePlus processes personal data in accordance with GDPR and our Privacy Policy.
7.2. The Customer is responsible for providing correct data and ensuring that shared information may be processed by TradePlus.
§ 8. Termination and Expiry
8.1. The agreement may be terminated in writing by both parties.Termination takes effect at the end of the already paid subscription period, unless otherwise agreed.
8.2. The Customer’s access ceases when the paid period ends. Data is then deleted in accordance with the Privacy Policy.
§ 9. Force Majeure
9.1. TradePlus cannot be held liable for non-performance or delayed performance due to circumstances beyond our control, including – but not limited to – natural disasters, war, terrorism, fire, flooding, strike, lockout, breakdowns in electricity or internet supply, or government intervention.
9.2. In case of force majeure, TradePlus’ obligations are suspended as long as the situation lasts. The Customer will be informed as soon as possible.
§ 10. Disputes and Conflict Resolution
10.1. TradePlus and the Customer strive to resolve any disagreements amicably. The parties commit to initiate dialogue and find a mutually acceptable solution – without unnecessary escalation.
10.2. If no agreement can be reached, the matter will be sought resolved via the relevant complaints board and mediation before any court action.
10.3. Final legal proceedings shall be brought before a Danish court with venue at the Copenhagen City Court, and Danish law shall apply.
§ 11. Validity
11.1. These terms take effect on 20 October 2025 and apply until changed.
11.2. Older versions are invalid after publication of new terms.
